These Terms of Service ("Terms") govern your use of the WagePerks platform. They form a legally binding contract between you and Wageperks Ltd ("we", "us", "WagePerks") — a company registered in Scotland.
By clicking "I agree" on the signup form, completing Stripe Checkout, or otherwise using the platform, you agree to these Terms. If you don't agree, don't use the platform.
1. Who can use WagePerks
WagePerks is a business-to-business service. It's intended for use by UK and EU employers, their employees, and their nominated representatives. You must be at least 18 to enter into this contract on behalf of an employer, and you must have the authority to bind that employer.
Where you accept these Terms in the course of your trade, business, craft or profession, you do so as a business customer. The consumer-specific rights under the Consumer Rights Act 2015 don't apply, but your statutory rights under business contract law and the UK GDPR remain in full.
2. The service
WagePerks is a software-as-a-service platform that helps employers manage:
- HR portal — holidays, sickness, absences, documents, profiles. The HR portal is included in the plans we currently offer; the precise composition of each plan is set out at signup. A companion mobile app is in active rollout; availability and feature parity are described at signup and may differ from the web portal during the rollout period.
- Employee Benefits — discounts at participating retailers, gift cards, peer recognition. Retailer count varies over time.
- Health & Wellbeing — a paid add-on covering virtual GP services and an Employee Assistance Programme, delivered by a third-party clinical partner. Hours of cover, eligibility, and consultation limits are set out at signup and are subject to the partner's own service terms.
- Shift Management — rotas, clock-in/out, GPS, geofencing, and UK-statutory holiday accrual.
- HR & Engagement — training, performance reviews, surveys, employee onboarding, e-signatures.
The exact set of features available to you depends on the modules and plan you choose. We may add, remove or modify features over time. We won't remove a feature that's material to your purchase without giving you reasonable notice (at least 30 days) and a reasonable workaround or refund.
3. Your account
3.1 Signup
To use WagePerks, you create an employer account at emp.wageperks.com/signup. You provide your name, work email, a password, and information about your company. You verify your email by clicking a link we send you.
3.2 Your responsibility
You are responsible for:
- Keeping your password secret and your account secure.
- The accuracy of the information you give us (including company details, employee count, and employee data).
- Everything that happens under your account.
- Making sure the people you invite to your employer account are lawfully entitled to use it.
If you think your account has been compromised, email info@wageperks.com immediately.
4. The trial
If you select paid modules during onboarding, you start a 14-day trial of those modules. We don't take card or payment details at signup.
During the trial:
- You have full access to the paid modules you selected.
- We'll email you on day 10 and day 12 with a reminder.
- You can convert to paid at any time via the "Upgrade" page.
- You can also do nothing — at the end of day 14, the paid modules will switch off automatically and you'll continue with whatever your underlying plan includes.
We don't charge you anything during the trial. If you upgrade before the trial ends, billing starts when the trial ends, not before. We won't charge you after the trial unless you've actively upgraded and chosen how to pay.
5. Subscriptions and payment
5.1 Pricing
Our current prices are published at wageperks.com and at emp.wageperks.com/signup. The price you see at the moment you upgrade is the price you pay until we give you notice of a change. We may change prices on at least 30 days' notice; a new price applies from the start of the next billing period after the notice expires (for an annual term, from your next renewal). If you don't accept a price increase, you may cancel with effect from the date it would apply. All prices are quoted exclusive of VAT, which will be added at the prevailing rate. Wageperks Ltd's VAT registration number is GB482609079.
5.2 Billing cycle
You may choose monthly or annual billing. Annual billing attracts a 15% discount on the equivalent monthly cost.
5.3 How payment works
When you upgrade, you choose how to pay. The price is the same either way.
- By invoice (the default). We email a VAT invoice in advance at the start of each billing period. Pay it by bank transfer within 14 days of the invoice date, using the invoice number as the payment reference.
- By card. Payment is taken automatically via Stripe (our payment processor) at the start of each billing period. You authorise us to charge your card on each renewal until you cancel, and we'll email you a receipt for each charge.
5.4 Late payment
If a card payment fails, Stripe will retry it up to four times over about 10 days. If all retries fail, the paid modules will switch off and your account will revert to your underlying plan.
If an invoice is 14 days or more overdue, we may suspend the paid modules (or the Service) until it is paid. In all cases we may pursue overdue amounts as a contract debt, with interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
5.5 Seat-based pricing
Modules priced per employee are billed based on the number of seats you've purchased. If you exceed your seat count, we'll prompt you to add more before letting you invite additional staff. We won't silently downgrade your seat count to protect you from accidental over-charging.
6. Voucher purchases (Employee Benefits marketplace)
Special terms apply when you buy a digital gift card or voucher through the Employee Benefits marketplace. These sit on top of the rest of the Terms but take precedence over them where they conflict.
6.1 We are the seller
Wageperks Ltd is the seller (merchant of record) for every voucher purchase on the platform. Your contract for the purchase is with us. It is not with the gift-card aggregator we use to fulfil the order, and it is not with the retailer whose voucher you are buying.
This is the same legal model as a high-street retailer (e.g. Argos) selling another brand's gift card: the high-street retailer is the seller; the gift-card brand is the underlying product.
6.2 We do not hold customer money
WagePerks does not hold a wallet, store credit, balance or any other form of stored value on your behalf at any time. When you pay for a voucher, the funds go directly to Wageperks Ltd's own bank account. We then buy the voucher from our wholesale supplier using our own working capital and deliver it to you.
There is no "WagePerks balance". There is no top-up. There is no cashback wallet. Every voucher purchase is a discrete, complete transaction, paid for in full at the point of sale.
6.3 Pricing
The price shown on the voucher product page is the single, all-in retail price you pay. We do not break this out into a "voucher cost" plus a "service fee", because there is no agency relationship — we are the seller, and the price is the price.
The discount or saving displayed against a voucher (e.g. "save 5%" on a £100 retailer voucher) reflects the difference between our retail price and the face value of the gift card you receive at the underlying retailer.
6.4 Payment
Voucher purchases are paid for by UK Faster Payment (bank transfer) directly to Wageperks Ltd's Starling Bank business account. Each order is assigned a unique payment reference (format WP-XXXXXXX-C) that you must include in the payment.
An unpaid voucher order automatically expires 24 hours after it is placed. No money has changed hands at that point — there is nothing to refund.
6.5 Delivery and the right to cancel
Vouchers are digital goods delivered immediately upon payment clearance. As required under regulation 37 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the option to cancel within 14 days of purchase does not apply to a digital voucher that has already been delivered to you. You will be asked to confirm this at the point of purchase before the voucher is issued.
6.6 Refunds
Where a refund is due (for example, we are unable to fulfil your order, you cancel before delivery, or you are entitled to a refund under consumer law), the refund will be made by outbound Faster Payment to the bank account the original payment came from, in full and net of any third-party fees. We will not issue store credit, a balance, or any other form of stored value as a substitute.
Refunds are typically processed within 1 UK business day of the cancellation being accepted, and arrive within minutes of being sent once your bank credits the inbound Faster Payment.
6.7 Wholesale supplier
We currently source our voucher catalogue from Tillo Ltd, a UK-authorised gift-card aggregator. We have an arm's-length wholesale relationship with Tillo: we buy at wholesale, you buy from us at retail. Tillo is not your supplier, you are not Tillo's customer, and Tillo holds no contract with you. The list of subprocessors that we share data with (including Tillo for order fulfilment) is at /legal/subprocessors.
6.8 What you may not do
You agree not to:
- Resell vouchers commercially via secondary marketplaces (eBay, Reddit, etc.).
- Use someone else's payment instrument without their authority.
- Issue a chargeback or recall on a Faster Payment for a voucher you have received and used.
- Place orders you do not intend to pay for, to consume our order-reference space or test our systems without authorisation.
See our Acceptable Use Policy for the full picture.
7. Cancellation and refunds
7.1 Cancelling your subscription
You may cancel your subscription on 30 days' notice (see section 14), by emailing us or via your Stripe Customer Portal (linked from Billing in the admin sidebar). Cancellation takes effect at the end of the billing period in which your notice expires — you keep access until the end of the period you've paid for, then your account reverts to your underlying plan (which may or may not include the HR portal, depending on what you signed up to).
7.2 Refunds
We don't generally refund part-used periods. Where we've taken payment in error, or where we've materially failed to deliver the service, we'll refund you fairly. Contact info@wageperks.com.
7.3 HR portal availability
The set of modules included in any given plan, the seat caps and the prices are set out at wageperks.com and on the signup page. We may add to, change or withdraw the HR portal — or any other module — with at least 30 days' notice. Where a change materially reduces what you receive in exchange for what you pay, you may cancel without penalty during that notice period and we'll refund any unused paid period pro rata.
8. Your data and your employees' data
For data we hold about you (the admin who signed up), we're a data controller.
For data your employees store on the platform via you (their HR records, leave, time entries, payslips your business uploads, etc.), you are the data controller and we process that data on your behalf as your processor.
That means you are responsible for having a lawful basis to collect and use that data, for responding to your employees' data subject requests, and for telling your employees how their data is used. We help you with the latter via our Privacy Policy, which you can link your employees to.
Full detail of how we process personal data — including the Data Processing Addendum that forms part of these Terms — is in our Privacy Policy.
9. Acceptable use
You won't use WagePerks to do anything illegal, anything that infringes other people's rights, or anything described in our Acceptable Use Policy. We may suspend or terminate your account for serious or repeated breach.
10. Intellectual property
WagePerks (the software, the brand, the documentation) is owned by Wageperks Ltd. You get a non-exclusive, non-transferable licence to use the platform for the duration of your subscription and in accordance with these Terms.
The data you put into the platform remains yours. We never claim ownership of your employee records, your rotas, your documents, or anything else you create.
11. Availability and support
We aim for 99.9% monthly uptime measured outside scheduled maintenance windows. If we materially miss that for two consecutive months, you may cancel without penalty and we'll refund the affected periods.
We don't promise the platform will be free of bugs, interruptions or errors. We do promise to fix them when we find them.
Support is via email at info@wageperks.com. We aim to respond within one UK business day.
12. Limitation of liability
To the maximum extent permitted by law:
- Neither party limits liability for death, personal injury, fraud or fraudulent misrepresentation.
- Neither party is liable for loss of profits, loss of business, loss of goodwill or other indirect or consequential loss.
- Our total aggregate liability arising under these Terms in any 12-month period is capped at the fees paid by you to us in the 12 months immediately preceding the event giving rise to liability.
For Companies on a plan that has not been paid for in the relevant 12-month period — where you pay us nothing — our total aggregate liability in any 12-month period is capped at £100.
13. Changes to these Terms
We may update these Terms occasionally. When we do, we'll give you at least 30 days' notice by email and via an in-app banner. If you don't accept the new Terms, you can cancel before they take effect and we'll refund any unused paid period pro rata.
The current version is WP-TOS-2026-10b, effective 22 October 2026 for new customers. If you accepted an earlier version, this version applies to you 30 days after we notify you of it. Previous versions are available on request.
14. Termination
Either of us may terminate this contract on 30 days' notice for any reason. Either of us may terminate immediately for material breach that isn't fixed within 14 days of being notified, or for the other party's insolvency.
On termination:
- Your access ends at the end of the period you've paid for.
- We'll give you 30 days from termination to export your data.
- After 90 days, we'll delete your data (subject to retention requirements — see the Privacy Policy).
15. Governing law and disputes
These Terms are governed by the laws of Scotland. The courts of Scotland have exclusive jurisdiction to settle any dispute arising from them, except that if you are domiciled in another part of the UK or in an EU member state, you may also bring proceedings in your local courts as your local law requires.
Before going to court, we both agree to try to resolve any dispute via good-faith negotiation, then via mediation, for at least 30 days.
16. Miscellaneous
Whole agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any subscription details on your invoice, are the whole agreement between us about your use of WagePerks.
No assignment. You may not transfer your rights under these Terms to anyone else without our written consent. We may transfer ours to a successor entity (e.g. on a sale of the business).
No partnership. Nothing in these Terms makes us partners, joint venturers, or agents of each other.
Severability. If a court finds any part of these Terms unenforceable, the rest remains in force.
Force majeure. Neither of us is liable for delays caused by events beyond our reasonable control (e.g. AWS outages, internet failures, government action, pandemic).
